Publisher Agreement
This Publisher Agreement ("Agreement") is entered into between StartSpace, hereinafter referred to as the "Platform," and the publishers who utilize the services provided by the Platform, hereinafter referred to as the "Publisher(s)."
Scope of Agreement
The Platform provides an online publishing platform that allows Publishers to create, distribute, and monetize their content.
This Agreement governs the relationship between the Platform and Publishers and sets forth the terms and conditions under which Publishers may use the Platform's services.
Publisher Obligations
Content Creation and Distribution
Publishers shall be solely responsible for the creation, accuracy, and legality of the content they publish on the Platform.
Publishers shall comply with all applicable laws and regulations in the European Union (EU), United Kingdom (UK), and the United States (US) when creating and distributing their content.
Intellectual Property Rights
Publishers represent and warrant that they own or have obtained all necessary rights, licenses, and permissions to the content they publish on the Platform.
Publishers grant the Platform a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the content on the Platform for the purpose of providing the services.
Compliance with Laws and Policies
Publishers shall comply with all laws, regulations, and policies applicable to their use of the Platform, including but not limited to data protection, privacy, and anti-spam laws.
Publishers shall not engage in any activity that promotes illegal, harmful, or fraudulent behavior.
Platform Obligations
Service Provision
The Platform shall provide Publishers with access to the Platform's publishing tools and services, subject to the terms of this Agreement.
The Platform shall make reasonable efforts to ensure the availability and reliability of its services. However, the Platform does not guarantee uninterrupted or error-free operation of the Platform.
Intellectual Property Rights
The Platform respects the intellectual property rights of Publishers. If the Platform receives a valid notice of copyright infringement regarding content published by a Publisher, the Platform shall promptly investigate and take appropriate actions, which may include removing or disabling access to the infringing content.
Revenue Sharing
Publishers shall have the opportunity to monetize their content on the Platform. The Platform may offer various revenue-sharing models, which shall be subject to separate agreements or policies.
Termination
Either party may terminate this Agreement for any reason by providing written notice to the other party.
Upon termination, Publishers shall cease using the Platform's services, and the Platform may remove or disable access to their content.
Data Protection and Privacy
The Platform shall process personal data in accordance with applicable data protection laws and its Privacy Policy.
Publishers shall ensure compliance with data protection laws when collecting, processing, and storing personal data through the Platform.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of laws principles.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of The Netherlands.
Miscellaneous
Entirety: This Agreement constitutes the entire agreement between the Platform and Publishers and supersedes any prior agreements or understandings, whether oral or written, relating to the subject matter hereof.
Modification: This Agreement may only be modified or amended in writing by both parties.
Waiver: The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of its right to do so in the future.
Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
Relationship of the Parties: Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, or employment relationship between the Platform and Publishers. Publishers are independent contractors and shall not have the authority to bind or act on behalf of the Platform.
Assignment: Publishers may not assign or transfer any rights or obligations under this Agreement without the prior written consent of the Platform. The Platform may assign or transfer this Agreement, in whole or in part, to any affiliated or successor entity.
Notices: Any notices or communications required or permitted under this Agreement shall be in writing and sent to the respective party's address as provided during the registration process or as subsequently updated in writing.
Force Majeure: Neither party shall be liable for any delay or failure in the performance of its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, or labor disputes.
Language: This Agreement may be provided in multiple languages for convenience, but in the event of any discrepancy or conflict in interpretation, the English language version shall prevail.
IN WITNESS WHEREOF, the parties have executed this Publisher Agreement as of the effective date set forth below.
